AB Amber Grid Completes Construction of Gas Transmission Pipeline of National Importance, Jurbarkas–Klaipeda

AB Amber Grid announces that 15 November 2013 marks the completion of the implementation of a Project provided for by the National Energy (Energy Independence) Strategy. The Project was mainly aimed at the enhancement of safety and reliability of Lithuania’s natural gas transmission system, at the enhancement of the gas system throughput capacity in Western Lithuania and at facilitating connection of the prospective Klaipeda Liquefied Natural Gas Terminal (LNGT) to the Lithuanian gas system. Today, on 15 November 2013, a number of state officials, top executives of AB Amber Grid and AB Lietuvos Dujos and a number of invited representatives of the key contractors involved in the Project implementation cut the symbolic ribbon symbolizing the completion of the implementation of the Construction Project (see pictures attached).

AB Amber Grid Results for Q III of 2013

AB Amber Grid was established on 11 June 2013 pursuant to a resolution adopted by a General Meeting of Shareholders of AB Lietuvos Dujos in implementation of requirements of legal acts of the Republic of Lithuania providing for the unbundling of the natural gas transmission activity from other activities. By the aforesaid resolution the General Meeting of Shareholders of AB Lietuvos Dujos approved the Terms and Conditions of the Spin-off providing for a spin-off from AB Lietuvos Dujos (continuing its activities) of a Transmission System Operator company on the basis of assets, rights and obligations attributed to the gas transmission activity. AB Amber Grid started its full scale activity on 1 August 2013. In accordance with the requirements of the legal acts of the Republic of Lithuania, the Company is publishing its results for Q III of 2013. The AB Amber Grid condensed financial statements have been prepared in accordance with International Financing Reporting Standards. However, these financial statements have not been audited.

The Project for the Enhancement of the Capacity of the Gas Interconnection between Latvia and Lithuania has been successfully implemented 7 months ahead of deadline

The newly implemented project was primarily aimed at enhancing the capacity of the Latvia-Lithuania natural gas interconnection, ensuring security of gas supplies in the region and closer integration of the natural gas systems of the Baltic States. The completion of the project resulted in the following enhancement of the daily gas supply capacities of the cross-border gas interconnection: in the Lithuania-Latvia direction – up to 6.48 mcm/day and in the Latvia-Lithuania direction – up to 6.24 mcm/day.

The First General Meeting of Shareholders of AB Amber Grid

Today, on 11 June 2013, shareholders of AB Amber Grid held their first General Meeting. The General Meeting of Shareholders of AB Amber Grid elected the Board of Directors of AB Amber Grid: Dr. Rainer Link, Member of the Management Board Essen Operations, E.ON Global Commodities SE and Member of the Management Board, E.ON Ruhrgas International GmbH; Mario Nullmeier, Head of Representative Office for the Baltic States, E.ON Global Commodities SE; Dr. Aleksandr Frolov, Head of Subdivision of the Division for Cooperation with CIS and Baltics, OAO Gazprom; Nikolay Vasilyev, Head of the Corporate Control Division of the Asset Management and Corporate Relations Department, OAO Gazprom; and Dr. Aleksandras Spruogis, Deputy Minister of Energy of the Republic of Lithuania.

The Shareholders of AB Lietuvos Dujos approved the Terms and Conditions of the Spin-off of AB Lietuvos Dujos

Today, on 11 June 2013, shareholders of AB Lietuvos Dujos held an Extraordinary General Meeting. The General Meeting of Shareholders of AB Lietuvos Dujos approved the Terms and Conditions of the Spin-off of AB Lietuvos Dujos and decided, in accordance with the terms and conditions thereof, to unbundle the spin-off part (the activity of natural gas transmission of AB Lietuvos Dujos) from AB Lietuvos Dujos (which continues its activities after the spin-off) and, on the basis of the assets, rights and obligations assigned to this part, to establish a new company, AB Amber Grid.

One of the Company's Shareholders, OAO Gazprom, voted on the adoption of this decision "for" with reservation.
